Terms and Conditions

TERMS AND CONDITIONS

Effective Date: April 15, 2023

These Terms and Conditions (“Terms”) govern your access to and use of the SwiftStock website and related services (the “Services”), operated by 9558-7416 Québec Inc. doing business as SwiftStock (“SwiftStock,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

  

1) Who We Serve (Business-Only / No Resellers)

SwiftStock is a wholesale distributor and sells only to brick-and-mortar businesses, including (without limitation) restaurants, grocery stores/supermarkets, hotels, institutions, and community organizations.

  • No consumer sales.
  • No online reselling is allowed. You may not purchase SwiftStock products for      resale through online marketplaces, social media shops, third-party      e-commerce platforms, or any other online channel.

We may require proof of eligibility (e.g., business registration, tax number, storefront information) and may refuse service, cancel orders, or terminate access if we believe you are not eligible or are reselling online.

  

2) Services; Changes; Suspension; Withdrawal

We may add, modify, suspend, or discontinue any part of the Services at any time, including features, content, hours of availability, or access to the website, without notice.

We may withdraw or cancel services, refuse requests, or restrict access where permitted by law, including for eligibility issues, suspected fraud, misuse, or violations of these Terms.

  

3) Inquiries, Quotes, Orders, and Transactions

The website may allow you to contact us, request information, request quotes, or inquire about products and services.

Unless SwiftStock expressly confirms an order in writing, any:

  • website content,
  • price indications,
  • product descriptions,
  • and availability information

are for informational purposes only and do not constitute a binding offer.

If financial transactions occur (online or offline), they are subject to any additional terms provided at the time of purchase (including invoice terms, payment timelines, delivery terms, and return policies).

We reserve the right to:

  • correct pricing or product description errors,
  • cancel or refuse transactions arising from errors or suspected misuse,
  • limit quantities where appropriate.

  

4) Website Availability and Accuracy Disclaimer

We try to keep the Services accurate and available, but we do not guarantee that:

  • the website will be uninterrupted, timely, secure, or error-free,
  • information will always be complete, current, or accurate,
  • defects will be corrected.

Website downtime, delays, or errors may occur due to maintenance, technical issues, or events outside our control.

  

5) Limitation of Liability

To the maximum extent permitted by applicable law:

  • SwiftStock will not be liable for any indirect, incidental, special, consequential,  or punitive damages, or any loss of profits, revenues, business opportunities, goodwill, data, or anticipated savings arising from or related to your use of the Services.
  • SwiftStock’s total liability for any claim arising out of or relating to the Services      will not exceed CAD $100 or the amount you paid to SwiftStock for the specific product/service giving rise to the claim (if any), whichever is greater.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

  

6) Your Responsibilities

You agree to:

  • provide accurate information when contacting us or making requests,
  • use the Services only for lawful purposes,
  • comply with these Terms and any applicable laws and regulations.

You are responsible for maintaining the confidentiality of any credentials if an account or restricted access is ever provided.

  

7) Prohibited Conduct

You may not use the Services to:

  • violate any law or regulation,
  • infringe others’ rights (including intellectual property, privacy, or publicity      rights),
  • post, transmit, or facilitate hate speech, harassment, bullying, threats, or      violent content,
  • send spam, unsolicited promotions, or deceptive communications,
  • upload malware or attempt to disrupt, damage, or gain unauthorized access to the Services,
  • scrape, crawl, or harvest data from the site without permission,
  • misrepresent your business identity or eligibility,
  • purchase for online reselling or act as an online reseller/aggregator.

We may take any action we deem appropriate if prohibited conduct is suspected, including suspension, refusal of service, cancellation of orders, or legal action.

  

8) Intellectual Property (Copyright and Use of Content)

All content on the Services—including text, graphics, logos, images, product lists, layout, and design—are owned by SwiftStock or its licensors and are protected by intellectual property laws.

You may view and print pages from the site only for your internal business use.

You may not, without our prior written permission:

  • copy, reproduce, republish, upload, post, transmit, distribute, modify, adapt,      translate, or create derivative works,
  • use our content commercially (including in marketing, catalogs, or online      listings),
  • use our trademarks, logos, or branding.

9) Third-Party Services and Links

The Services may reference or link to third-party websites or services. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk.

  

10) Account Management (If Applicable)

If SwiftStock provides you with an account, login, or restricted access area (now or in the future):

  • You must not share credentials or allow unauthorized access.
  • We may suspend or disable accounts at our discretion if we believe there has      been misuse, ineligibility, fraud, security risk, or violation of these      Terms.
  • Termination may be immediate and without notice where permitted by law.

  

11) Privacy

Your use of the Services is also governed by our Privacy Policy.

  

12) Governing Law and Jurisdiction

These Terms are governed by the laws of the applicable Canadian jurisdiction where SwiftStock operates, without regard to conflict of laws principles. You agree that disputes will be brought in the courts of competent jurisdiction in Canada, unless applicable law requires otherwise.

  

13) Changes to These Terms

We may update these Terms from time to time. The “Effective Date” above indicates when these Terms took effect. By continuing to use the Services after changes, you agree to the updated Terms.

Wholesale Eligibility

Effective Date: April 15, 2023

This Wholesale Eligibility (“Policy”) explains who SwiftStock sells to and the conditions for purchasing from SwiftStock (9558-7416 Québec inc.).

By requesting a quote, placing an order, or purchasing from SwiftStock, you agree to this Policy.

1) Business-Only Wholesale Sales

SwiftStock is a wholesale distributor and sells exclusively to brick-and-mortar businesses, including (without limitation):

  • Restaurants      
  • Grocery stores / Supermarkets 
  • Hotels      
  • Institutions      
  • Community organizations/centers 

SwiftStock does not sell to consumers or individuals for personal use.

2) Eligibility Verification

To protect our wholesale customers and pricing integrity, we may require proof that you operate a brick-and-mortar business, such as:

  • Business registration details 
  • Tax number (where applicable) 
  • Storefront address or photos 
  • Menu, business website, or listings 
  • Any other reasonable documentation 

We may approve, decline, or revoke eligibility at our discretion where permitted by law.

3) Strict No Online Resale Rule

To maintain fair wholesale pricing and protect our distribution network:

Allowed: Resale and use within your physical (brick-and-mortar) location(s). Not allowed: Purchasing SwiftStock products for online reselling in any form, including:

  • Online marketplaces (e.g., third-party platforms) 
  • Your own e-commerce website 
  • Social media shops or live selling 
  • Delivery apps or similar online resale channels 
  • “Online-only” stores or resellers 

If your business operates both physical and online channels, you must obtain written approval from SwiftStock before listing or reselling SwiftStock-supplied products online.

4) Enforcement and Remedies

If we believe you are in violation of this Policy (including suspected online resale), SwiftStock may take one or more of the following actions, where permitted by law:

  • Refuse service or deny quotes 
  • Cancel orders (including pending orders) 
  • Suspend or terminate accounts or access (if applicable) 
  • Limit quantities or restrict product availability 
  • Require additional verification documentation 
  • Pursue other remedies available under applicable law 

5) Product Availability and Pricing

All product availability, assortments, and pricing are subject to change. Errors may occur, and SwiftStock reserves the right to correct them and to cancel transactions arising from inaccuracies.

Return and Refund Policy

  

Effective Date: April 15, 2023

This Return and Refund Policy (“Policy”) explains how returns, exchanges, credits, and refunds are handled by SwiftStock (9558-7416 Québec inc.) (“SwiftStock,” “we,” “us,” or “our”). This Policy applies to wholesale transactions with eligible brick-and-mortar business customers only (restaurants, grocery stores/supermarkets, hotels, institutions, and community organizations).

By purchasing from SwiftStock, you agree to this Policy.

  

1) Important Wholesale Notice

Because we distribute food and household supplies, many items are not eligible for return once delivered due to safety, hygiene, and traceability requirements. Returns are considered only in the limited cases described below.

  

2) Return Eligibility (When We Accept Returns)

We may accept a return, replacement, or credit only for the following reasons:

  1. Incorrect items shipped (we delivered an item you did not order), or
  2. Damaged items on arrival (visible damage caused during delivery/handling), or
  3. Defective or compromised goods at delivery (e.g., seals broken, leaking packaging), or
  4. Shortages (missing units compared to the invoice/delivery note).

All return requests must be submitted within 48 hours of delivery.

  

3) Non-Returnable Items

Unless required by law, the following are not returnable:

  • Perishable goods (if any are supplied)
  • Any food items (including shelf-stable foods) that have been delivered and are no longer in SwiftStock’s control, except where Section 2 applies
  • Opened, used, or partially used items
  • Items with missing labels, damaged packaging not caused by delivery, or unclear lot/traceability
  • Items damaged due to improper storage or handling after delivery
  • Special orders or non-standard items sourced specifically for a customer (if applicable)

  

4) How to Request a Return, Replacement, or Credit

To request a return or refund review, contact us within 48 hours of delivery:

Include:

  • Your business name
  • Invoice number (or delivery note reference)
  • Item name(s) and quantity affected
  • Reason for the request (damaged / incorrect / missing / defective)
  • Inspect items (in-person or via photos/video)e shipping label if applicable)

We may ask for additional information to verify the issue.

  

5) Inspection and Verification

SwiftStock reserves the right to:

  • Inspect      items (in-person or via photos/video)
  • Request that items be kept in their delivered condition for pickup or verification
  • Refuse a claim if evidence does not support the request or if the claim is submitted after the deadline

Do not discard damaged/incorrect items until you receive instructions from SwiftStock. Discarding items before verification may void eligibility for credit or replacement (unless required by law).

  

6) Return Method and Shipping/Pickup

If a return is approved:

  • SwiftStock will provide instructions for pickup or drop-off, depending on the situation.
  • If the return is due to SwiftStock error (incorrect item, delivery damage, verified defect), SwiftStock will generally cover reasonable return logistics.
  • If the return is approved for reasons not caused by SwiftStock (only where permitted), additional handling or restocking fees may apply.

  

7) Refunds, Credits, and Replacements

If your claim is approved, SwiftStock may, at its discretion (and where permitted by law), provide one of the following remedies:

  • Replacement of the item (same or comparable item, subject to availability)
  • Account credit (applied to future purchases)
  • Refund (generally issued to the original payment method if applicable)

For many wholesale transactions, account credit is the standard remedy.

  

8) Order Cancellations

If you request to cancel an order before it ships or leaves our facility, we will try to accommodate the request. However:

  • Some orders may not be cancelable once processing has begun
  • Special orders may be non-cancelable
  • Restocking or handling fees may apply where permitted

  

9) Pricing, Invoice Errors, and Charge Disputes

If you believe there is an invoice error, notify us within 7 days of the invoice date. We will review and, if confirmed, correct the issue via credit, adjustment, or other appropriate remedy.

  

10) Limitation of Policy

This Policy applies only to purchases made directly from SwiftStock by eligible business customers. It does not cover third-party purchases or misuse, improper storage, or damage occurring after delivery.

Nothing in this Policy limits any rights you may have under applicable law.
